ITEM 8.01. Other Events

On April 17, 2006, Host Marriott, L.P. filed a Certificate of Amendment to its Certificate of Limited Partnership with the Office of the Secretary of State of Delaware changing its name from “Host Marriott, L.P.” to “Host Hotels & Resorts, L.P.” The name change was effective upon the acceptance of the filing on April 17, 2006.
